Off-Time Membership Terms & Agreement

This is an agreement to sublet real property according to the terms specified below. The Sublessor agrees to sublet and the Subtenant agrees to take the premises described below. Both parties agree to keep, perform and fulfill the promises, conditions and agreements below:
1. The Sublessor is: The Work Lounge, LLC. / dba The Work Lounge, Owner Greg Willis
2. The Subtenant is myself (listed in submitted form below)
3. The location of the premises is: 14165 James Road, Suite 106, Rogers, MN 55374
City of Rogers, County of Hennepin, Minnesota 55374. Unit No. 106
4. Month to month Agreements shall continue until either of the Parties gives notice of at least 30 days from the next payment date, beginning on the date of my order and payment. Memberships that are discounted due to a 12 month agreement are bound to this agreement for 12 monthly payments. After the 12 month commitment, Membership will continue on a monthly basis until either Parties give notice. The rent is agreed upon in the order that I placed, per month payable in advance upon full execution of this Sublease Agreement. The rent is payable to The Work Lounge, LLC at 14165 James Road, Suite 106, Rogers, MN 55374.
5. Hours of operation are:
Monday-Thursday 6am-9pm
Friday: 6am-5pm
Saturday: 6:00am-2:00pm (unless otherwise specified)
Sunday: Closed (unless otherwise specified)
6. All charges for utilities connected with premises are included under the master lease shall be paid by the Sublessor for the term of this sublease.
7. Subtenant agrees to surrender and deliver to the Sublessor the premises and all furniture and decorations within the premises in as good a condition as they were at the beginning of the term, reasonable wear and tear excepted. The Subtenant will be liable to the Sublessor for any damages occurring to the premises or the contents thereof or to the building which are done by the Subtenant or their guests.
8. In the event of any legal action concerning this sublease, the losing party shall pay to the prevailing party reasonable attorney’s fees and court costs to be fixed by the court wherein such judgment shall be entered.
9. This lease constitutes the sole agreement between the parties, and no additions, deletions or modifications may be accomplished without the written consent of both parties (ANY ORAL REPRESENTATIONS MADE AT THE TIME OF EXECUTING THIS LEASE ARE NOT LEGALLY VALID AND, THEREFORE, ARE NOT BINDING UPON EITHER PARTY).
10. The words “Sublessor” and “Subtenant” as used herein include the plural as well as the singular; no regard for gender is intended by the language in this sublease.
11. The Subtenant and their guests/clients must be 21 years of age or older. There are no children allowed at The Work Lounge. Exceptions may be certain special events, with Sublessors prior approval.
12. Each signatory to this sublease acknowledges receipt and agreement of an executed copy of The Work Lounge Subtenant Rules thereof.
13. This sublease is not binding upon either party unless approved by the sublandlord as provided below.
SUBLESSOR SUBTENANT NAMES: IN WITNESS WHEREOF, the parties have executed and delivered this Lease as of the day and year first written above. I hereby give my consent to subletting of the above-described premises as set out in this sublease agreement.
Off-Time MEMBERSHIP AMENITIES AND GUIDELINES
Subtenant’s Membership is at the Silver level and includes the following amenities:
Access to The Work Lounge - short term for when waiting for practice
Complimentary coffee, tea, and water
Phone booth access
High-speed internet
Kitchen, lounge, and main area meeting/ work spaces
Silver Membership does NOT include Large Conference Room access. Large Conference Room is available to rent at $35 per hour.
SUBLEASE RULES AND REGULATIONS
Sale of Goods - The Work Lounge will not sell food or beverages of any kind. Subtenant can bring in any legal food or beverages, but are not allowed to sell food or beverage.
Subtenant- Subtenant that has a membership that allows guests/clients. Guests that enter The Work Lounge are your sole responsibility. Any damage to the premise caused by any of the subtenants guests, will be the responsibility of the subtenant.
Key Fob: Lost or Unreturned Key Fob - $20.00. Key fobs cannot be shared with others to utilize and must be retained by the Subtenant only.
Conduct / Disorderly Conduct: Good conduct must be observed by Subtenant and Guests at all times while on property. All Tenants are responsible for the conduct of their Guests. Any person who engages in offensive, obscene, abusive, boisterous, or noisy conduct or inoffensive, obscene, or abusive language tending reasonably to arouse alarm, anger, or resentment in others may lead to termination of the sub-lease with no refund of rent paid. Any incidents that cause the police to be dispatched to The Work Lounge by Tenants or their Guests for any reason will lead to immediate termination of the sub-lease with no refund of rent paid.
Guests must NOT be repeat persons more than once per month. Any guest who attends The Work Lounge as your guest more than twice per month will be required to have a membership of their own. Exceptions to this may be temporary client's of the Subtenant (due to closing a sale, etc.)
Employees - No employees, or receptionists will be present with the exception of the Sublessor.
Notice of Surveillance - Surveillance cameras are present in the facility and are recorded 24 hours a day. This is for the safety of our Subtenants and their guests.
No Liability for Injury or Loss - The Work Lounge assumes no liability for injury occurring on any areas of The Work Lounge. Tenants and Guests use The Work Lounge facilities at their own risk.
Risk of Personal Injury - All persons using or entering The Work Lounge premises assume the risk of personal injury and the loss of personal property and release The Work Lounge and its affiliates, management, partners, shareholders, officers, agents, and employees from any and all liability for such injury and losses.
Loss or Damage / Injury - Damage to or loss of property of The Work Lounge, or of its Tenants or Guests, caused by a Subtenant or a Tenant’s Guest, will be the responsibility of the Subtenant causing the loss or damage and shall be charged to the Tenant. The Work Lounge will not be responsible for any loss of or injury to, any property of Subtenant or Guests. The Work Lounge will not be responsible for loss of valuables, clothing or other property inside or outside of the premises.
Hours of Operation Monday-Thursday: 6:00am-9:00pm, Friday: 6:00am-5:00pm, Saturday: 6:00am-2:00pm, Sunday: Closed. All members must adhere to the hours of operation. Any requests to stay after hours need to be approved by the owner. All Access Members must adhere to the hours of operation as well. Any members who violate these hours may lead to the termination of the sublease.
Alcoholic Beverages - Alcoholic beverages may be consumed on The Work Lounge premises, excluding the exterior grounds; all consumption must take place inside The Work Lounge only. Sublessor is responsible for bringing their own beverages. Overserving or consumption of alcohol by Subtenant and Guests is not permitted and will be monitored at all times. The Work Lounge will not be responsible for over consumption of any kind and all Subtenant and Subtenant Guests will indemnify and hold The Work Lounge harmless regarding any issues related to overconsumption including but not limited to driving while intoxicated, injuring oneself or others and any other issue related to intoxication. Over consumption will lead to immediate termination of sublease with no rent refund.
Locker Rental - Locker rental is available for $15 per month. Storage of legal personal items including alcohol is permitted.
Right of Entry- to any Sublessor or Guest based on the individual’s apparent state of intoxication. Sublessor reserves the right to request a Subtenant or Guest to leave if deemed intoxicated and Sublessors sole discretion.
Equipment - Tampering with or adjusting equipment such as air conditioning, light fixtures or control of lights is not permitted. Exception is the request to turn out the lights if you are the last to leave, and to
Automobiles - The Work Lounge will not be responsible for loss of or damage to any automobile or motorcycle on The Work Lounge property.
Private Social Functions - or networking events are permitted and encouraged on Saturday evenings and Sundays. Such events must have prior written approval of the Sublessor. Such functions must be of a social or business nature only.
Advertising - Commercial advertising shall not be posted or circulated on The Work Lounge property without Sublessor’s prior approval. No petitions shall be originated, solicited, circulated, posted or signed on The Work Lounge premises, unless specifically approved by The Work Lounge Owner.
Pets - Pets will not be allowed in The Work Lounge.
Illegal Activity - No illegal activity will be permitted in any area of The Work Lounge or near the property. Including but not limited to drug use or sales on or near The Work Lounge.
Americans with Disabilities Act.- The Work Lounge will comply in all respects with pertinent applicable provisions of the Americans with Disabilities Act.
Notices -Only notices covering The Work Lounge business shall be posted. Removal or defacement may be cause for suspension or termination of Tenant.
Amendments - These rules and regulations may be amended, supplemented, or changed in regard at any time by The Work Lounge Sublessor/Owner.
COMPLAINTS AND MISCONDUCT
Complaints, comments, and suggestions from Subtenant are always welcome and should be directed to the Owner either in person or via e-mail or phone call.
The following should be provided when reporting misconduct:
- Name of offender
- Name of other Tenants at the time of infraction
- Date, time and location of infraction
- Witness to the infraction other than person reporting the infraction
All reporting Subtenants are kept confidential. The Work Lounge Ownership will adjudicate all infractions and issue appropriate action under authority of The Work Lounge. The Work Lounge Ownership will enforce all decisions set forth by The Work Lounge and based on severity of infraction; immediate Lease suspension or revocation may take place without a refund of rents.
Standard misconduct or rules infractions will result in disciplinary actions:
- First Offense-Verbal Warning Documented
- Second Offense-Final Verbal Warning Documented
- Third Offense-Suspension from The Work Lounge for a time deemed sufficient by The Work Lounge.
By agreeing with these terms The Work Lounge Lease rules and regulations as outlined above; each Subtenant understands and agrees that they will be fully responsible for not only their conduct but the conduct of their Guests. Each Subtenant understands and agrees that if any damage is caused by a violation of The Work Lounge Rules and Regulations by either themselves or their Guests; the Subtenant will be financially responsible for the repayment of all damages or losses caused.
Immediate termination of Lease without refund may occur based on the severity of the infraction or violation of the rules.
Furthermore, Ownership of The Work Lounge will utilize all legal remedies available to collect damages caused by a Subtenant or their Guests and Ownership will seek reimbursement of reasonable attorney’s fees in the collection of all monies owed.
